Acceptance of Terms

By creating an account on or otherwise accessing the wallmarkets platform (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, to use the Service. If you are accessing the Service as an authorized representative of an organization, you confirm that your organization has authorized you to accept these Terms on its behalf.

If you do not agree with any part of these Terms, you must not access or use the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes.

Description of Service

wallmarkets is a business-to-business logistics coordination platform designed for food suppliers delivering products to supermarket chains. The platform provides tools for managing deliveries, processing returns, maintaining product catalogs, viewing analytics, and integrating with third-party systems via our API.

The scope of features and services available to you depends on your subscription plan. We currently offer Free, Pro, and Business tiers, each with different capabilities, usage limits, and service levels. Details of each plan are described on our pricing page and are incorporated by reference into these Terms.

We may modify, update, or discontinue specific features of the Service at any time. Where a change materially reduces the functionality available under your current plan, we will provide reasonable advance notice.

User Accounts

When you create an account, you must provide information that is accurate, complete, and current. Providing inaccurate or outdated information constitutes a breach of these Terms and may result in the immediate suspension or termination of your account.

You are solely responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree not to share your password with any third party and to notify us immediately at legal@wallmarkets.org if you become aware of any unauthorized access to or use of your account.

Each account has a designated Owner who controls billing, team member access, and administrative settings. The Owner is responsible for ensuring that all users under the account comply with these Terms.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Attempt to gain unauthorized access to any portion of the Service, other accounts, or systems connected to the Service.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service.
• Use automated scripts, bots, or scrapers to collect data from the Service without our prior written consent.
• Use the Service for any illegal purpose or in violation of any applicable local, national, or international law or regulation.
• Interfere with or disrupt the integrity or performance of the Service, or the data contained therein.
• Attempt to circumvent any rate limits, usage quotas, or technical restrictions imposed by the Service.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including suspending or terminating access to the Service and reporting such conduct to law enforcement authorities.

Intellectual Property

The Service, including its software, design, logos, branding, documentation, and all related intellectual property, is and shall remain the exclusive property of wallmarkets and its licensors. The Service is protected by copyright, trademark, trade secret, and other intellectual property laws.

You may not use wallmarkets trademarks, trade names, or branding in connection with any product or service without our prior written consent. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

This license does not grant us the right to sell, share, or otherwise distribute your data to third parties for their independent use.

Payment Terms

Paid subscription plans are billed on a monthly or annual basis, depending on the billing cycle you select at the time of purchase. All fees are stated in the currency indicated at checkout and are exclusive of applicable taxes unless otherwise specified.

If you upgrade or downgrade your plan mid-cycle, fees will be pro-rated accordingly. Downgrades take effect at the end of your current billing period.

If a payment fails, we will notify you and may retry the charge. If payment remains unsuccessful after reasonable attempts, we reserve the right to suspend your access to paid features until the outstanding balance is resolved.

Refunds are not provided for partial billing periods or unused time within a subscription cycle, except where required by applicable law. If you believe you have been charged in error, please contact us at legal@wallmarkets.org.

Data Protection

You may export your data at any time using the export functionality available within your account settings or by contacting our support team. We are committed to ensuring data portability and will provide your data in a standard, machine-readable format upon request.

We do not sell, rent, or otherwise provide your data to third parties for their marketing or commercial purposes. We may share data with service providers who assist us in operating the Service, but only under strict confidentiality obligations and solely to the extent necessary to provide the Service.

You are responsible for the accuracy and legality of any content or data you submit to the Service. You represent and warrant that you have all rights necessary to submit such data and that your data does not infringe upon the rights of any third party.

Limitation of Liability

In no event shall wallmarkets, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from:

• Your access to, use of, or inability to access or use the Service;
• Any conduct or content of any third party on the Service;
• Any content obtained from the Service; or
• Unauthorized access, use, or alteration of your transmissions or data.

These limitations apply regardless of the legal theory upon which a claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if wallmarkets has been advised of the possibility of such damages.

Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. wallmarkets expressly disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or timeliness of any information provided through the Service.

Features designated as "beta," "preview," or "experimental" are provided for evaluation purposes and may be modified, suspended, or discontinued at any time without notice. Such features are provided without any warranty or service level commitment.

Indemnification

You agree to defend, indemnify, and hold harmless wallmarkets, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to:

• Your use of, or access to, the Service;
• Your violation of these Terms;
• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right;
• Any data or content you submit to or transmit through the Service; or
• Any claim that your data or content caused damage to a third party.

This indemnification obligation will survive the termination or expiration of these Terms and your use of the Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Mongolia, without regard to its conflict of law provisions. wallmarkets is incorporated and headquartered in Mongolia, and the laws of Mongolia apply to the interpretation and enforcement of these Terms.

Any dispute arising out of or in connection with these Terms that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in Ulaanbaatar, Mongolia, in accordance with the arbitration rules then in effect. The language of the arbitration shall be English. Judgment upon the arbitration award may be entered in any court of competent jurisdiction.

Termination

Either party may terminate the relationship under these Terms at any time. You may cancel your account through your account settings or by contacting our support team.

We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a security risk to the platform or other users.

Prior to account closure, you will have the opportunity to export your data. We recommend initiating a data export before requesting account termination. Upon termination, your right to use the Service ceases immediately.

Following account closure, we will retain your data in accordance with our data retention policy, after which it will be permanently deleted. Certain information may be retained longer where required by law or for legitimate business purposes such as fraud prevention.

Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' advance notice by posting the updated Terms on the Service and, where practicable, by sending an email notification to the address associated with your account.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree with the revised Terms, you must discontinue your use of the Service before the changes take effect.
